These Terms form an agreement between you ("Affiliate" or "you") and the operator of Mole ("we" or "us"; https://mole.fit) governing your promotion of Mole. By applying to and taking part in the Program, you confirm that you have read, understood, and agree to these Terms.

1. The Program

1. You may promote Mole through permitted channels and earn commission on the Valid Orders you generate.
2. The Program is non-exclusive; we may continue to market and sell Mole ourselves or through others.
3. We make no guarantee as to your order volume, sales, or earnings.

2. Promotion and Attribution

1. You may promote via video, articles, communities, websites, creator partnerships, paid advertising, or other channels we approve.
2. A purchase counts toward you only if the customer buys through your unique tracking link. Attribution is last-click within 30 days of the customer's last click on your link.
3. Payment and license-key delivery are handled entirely by the official checkout. You do not collect payments, deliver license keys, or handle refunds or support.

3. Commission and Settlement

1. Commission is 25% of the net amount received for each Valid Order.
2. A "Valid Order" is one that: was placed through your unique link; has been paid and settled; and is not subject to refund, duplicate payment, chargeback, fraud, or test-order status.
3. Settlement: an order becomes payable once it has remained a Valid Order for 30 days after completion. We reconcile monthly and provide settlement data between the 1st and 7th of each month; payment follows your confirmation.
4. Threshold: we pay once your accrued payable commission reaches USD 60; amounts below the threshold roll over to the next period.
5. Upon receiving commission, you will, at our reasonable request, promptly issue a valid invoice or other agreed receipt for the matching amount.
6. If a settled order is later refunded, charged back, or found invalid, we may deduct the amount from your future commission.

4. Promotional Content

1. Content must be truthful and accurate, with no false or misleading claims. Statements about features, price, discounts, refund policy, testimonials, sales figures, reviews, or competitor comparisons must follow our official website or our written confirmation.
2. Before first publishing material promotional content, you will submit the main copy, scripts, creatives, or landing pages to us for confirmation.
3. Content must comply with the relevant platform rules and applicable law. If we notify you of an error, risk, or brand harm, you will promptly edit, remove, or stop running it.

5. Brand and Assets

1. You may use assets we provide, or create your own based on genuine use of Mole. Assets may be used only for the Program and may not be sublicensed, sold, altered, or used for other products.
2. All rights in Mole's product, brand, logo, website, copy, and screenshots belong to us or the respective rights holders.
3. Without our written consent, you may not register or use any trademark, domain, social account, store name, or search keyword containing "Mole", "mole.fit", or a confusingly similar name.

6. Prohibited Conduct

1. No fake orders, fake clicks, fake traffic, traffic hijacking, or other fraud.
2. No promotion through pirated, cracked, infringing, adult, gambling, malware, or otherwise unsuitable channels.
3. No disparaging competitors, fabricating reviews or sales data, or misleading customers into a purchase.
4. No holding yourself out as Mole's official team or exclusive agent, and no signing agreements, making promises, or collecting payments in our name.

7. Confidentiality

You will keep confidential the non-public information you learn through the cooperation (including commission rates, sales and channel data, user data, product plans, dashboard screenshots, and unreleased assets) and will not disclose it to third parties without our written consent, except as required by law or to professional advisers.

8. Term and Termination

1. These Terms take effect when you join the Program; either party may terminate on 30 days' notice.
2. We may terminate immediately and suspend or cancel related commission if you engage in false advertising, fraud, infringement, illegal or serious platform violations, or conduct that harms our brand.
3. On termination you will stop using our assets and any promoter identity and, on request, remove the related content. Confirmed Valid Order commission is unaffected, except for invalid, refunded, or breach-related amounts.

9. Liability and Governing Law

1. A party in breach is liable for the loss it causes the other party.
2. These Terms are governed by the laws of the Hong Kong SAR. Disputes will first be negotiated; failing that, they will be referred to the Hong Kong International Arbitration Centre for arbitration in Hong Kong, in Chinese, with a final and binding award.
3. When promoting in mainland China, you will comply with local mandatory requirements on advertising, consumer protection, personal-information protection, anti-unfair-competition, and platform rules.

10. Updates

We may update these Terms from time to time and publish the update on the Program page. Continuing to promote after an update means you accept it.

本条款是您(下称“推广者”或“您”)与 Mole 运营方(下称“我们”,官网 https://mole.fit)之间就推广 Mole 达成的协议。您申请加入并参与本计划,即表示已阅读、理解并同意本条款。

一、计划说明

1. 您可通过合规方式推广 Mole,并就带来的有效订单获得佣金。
2. 本计划为非独家合作,我们仍可自行或与其他推广者推广和销售 Mole。
3. 我们不对您的订单量、销售额或收益作任何保证。

二、推广与归因

1. 您可通过视频、图文、社群、网站、达人合作、广告投放或我们认可的其他方式推广。
2. 用户须通过您的专属推广链接完成购买才计入归因;归因规则为末次点击后 30 日内完成的购买计入您的订单。
3. 支付与授权码发放由官方结账渠道直接完成。您不代收款项、不交付授权码、不处理退款或售后。

三、佣金与结算

1. 佣金为有效订单实收金额的 25%。
2. 有效订单须同时满足:经您的专属链接完成购买;款项已支付并到账;且未发生退款、重复支付、拒付、欺诈或测试订单等异常。
3. 结算:订单完成满 30 日且仍为有效订单的,进入可结算佣金。我们按自然月统计,于每月 1 至 7 日提供结算数据,您回复确认后付款。
4. 门槛:累计可结算佣金达 60 美元(约 420 元)后付款,未达则顺延至下期。
5. 您应在收到佣金后,按我们合理要求及时开具金额一致的合法发票或双方认可的凭证。
6. 已结算订单如后续退款、拒付或被认定无效,我们有权自您后续佣金中扣回。

四、推广内容

1. 内容须真实、准确,不得虚假宣传或误导。涉及功能、价格、折扣、退款政策、案例、销量、评价、竞品对比等,以我们官网信息或书面确认为准。
2. 首次发布重要推广内容前,应将主要文案、脚本、素材或落地页提交我们确认。
3. 内容须遵循相关平台规则与适用法律;经我们通知存在错误、风险或品牌损害的,您应及时修改、下架或停投。

五、品牌与素材

1. 您可使用我们提供的素材,或基于真实使用体验自行创作;素材仅限用于本计划,不得转授权、出售、篡改或用于其他产品。
2. Mole 的产品、品牌、Logo、官网、文案、截图等权利归我们或相关权利方所有。
3. 未经我们书面同意,您不得注册或使用含 Mole、mole.fit 或近似名称的商标、域名、社媒账号、店铺名或搜索关键词。

六、禁止行为

1. 不得刷单、虚假点击、虚假流量、流量劫持或其他作弊。
2. 不得在盗版、破解、侵权、色情、赌博、恶意软件等不适宜渠道推广。
3. 不得贬损竞品、虚构评价或成交数据、诱导用户错误购买。
4. 不得冒充 Mole 官方或独家代理,不得以我们名义签约、承诺或收取用户款项。

七、保密

您对合作中知悉的非公开信息(佣金比例、销售与渠道数据、用户数据、产品计划、后台截图、未公开素材等)负保密义务,未经书面同意不得向第三方披露,依法披露或向专业顾问披露除外。

八、期限与终止

1. 本条款自您加入之日起生效,任一方可提前 30 日通知终止。
2. 如您存在虚假宣传、作弊、侵权、违法违规、严重平台违规或损害我们品牌等行为,我们可立即终止并暂停或取消相关佣金。
3. 终止后您应停止使用我们的素材及推广身份,并按要求删除或下架相关内容;已确认的有效佣金不受影响,无效、退款及违约相关金额除外。

九、责任与法律

1. 任一方违约给对方造成损失的,应承担赔偿责任。
2. 本条款适用香港特别行政区法律;争议先协商,不成提交香港国际仲裁中心在香港仲裁,语言为中文,裁决终局。
3. 您在中国内地推广时,应遵守当地广告、消费者保护、个人信息保护、反不正当竞争及平台规则等强制性要求。

我们可不时更新本条款并在计划页面公布;更新后您继续推广视为接受。
